Terms of Service

1. Acceptance of Terms

By accessing or using Nexim's cloud accounting software and related services ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

If you do not agree to these Terms, you may not access or use the Service.

2. Service Description

Nexim provides cloud-based accounting software that enables businesses to:

• Manage financial records, including general ledger, accounts payable, and accounts receivable
• Create and send invoices and track payments
• Process payroll and generate payslips
• Manage inventory and fixed assets
• Generate financial reports and analytics
• Reconcile bank transactions

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.

3. User Accounts

3.1 Registration

To use the Service, you must create an account by providing accurate and complete information. You agree to update your information to keep it current.

3.2 Account Security

You are responsible for:

• Maintaining the confidentiality of your login credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access
• Ensuring your team members comply with these Terms

3.3 Account Types

The account creator ("Owner") has full administrative rights. The Owner may invite additional users and assign roles with varying permission levels.

4. Subscriptions & Billing

4.1 Free Trial

New accounts receive a 30-day free trial with full access to features. No credit card is required to start a trial. At the end of the trial, you must subscribe to continue using the Service.

4.2 Subscription Plans

We offer various subscription plans with different features and pricing. Current pricing is available at www.neximaccounting.com/pricing. Prices are subject to change with 30 days' notice.

4.3 Billing

• Subscriptions are billed monthly or annually in advance
• All fees are non-refundable except as required by law
• You authorize us to charge your payment method automatically
• Failed payments may result in service suspension

4.4 Cancellation

You may cancel your subscription at any time. Upon cancellation:

• You retain access until the end of your current billing period
• No refunds are provided for partial periods
• You may export your data before the account is closed

5. Your Data

5.1 Ownership

You retain all rights to the data you enter into the Service ("Your Data"). We do not claim ownership of Your Data.

5.2 License to Us

You grant us a limited license to use Your Data solely to provide and improve the Service. This includes storing, processing, and displaying Your Data as necessary.

5.3 Data Accuracy

You are solely responsible for the accuracy, quality, and legality of Your Data. The Service is a tool to assist with accounting; it does not replace professional accounting advice.

5.4 Data Export

You may export Your Data at any time in standard formats (CSV, PDF). We recommend regular exports for your records.

5.5 Data Deletion

Upon account termination, Your Data will be retained for 90 days to allow for recovery, then permanently deleted. Some data may be retained longer for legal compliance.

6. Acceptable Use

You agree not to:

• Use the Service for any illegal purpose or to violate any laws
• Upload malicious code, viruses, or harmful content
• Attempt to gain unauthorized access to the Service or other accounts
• Interfere with or disrupt the Service or servers
• Reverse engineer, decompile, or disassemble the Service
• Use the Service to send spam or unsolicited communications
• Resell or redistribute the Service without authorization
• Use automated systems to access the Service without permission
• Impersonate any person or entity

7. Intellectual Property

7.1 Our Rights

The Service, including its design, features, code, and content (excluding Your Data), is owned by Nexim and protected by intellectual property laws. You may not copy, modify, or create derivative works without our permission.

7.2 Feedback

If you provide suggestions or feedback about the Service, you grant us the right to use that feedback without compensation or attribution.

7.3 Trademarks

"Nexim" and our logo are trademarks. You may not use our trademarks without prior written consent.

8. Third-Party Services

The Service may integrate with third-party services (payment processors, banks, etc.). Your use of third-party services is subject to their terms and privacy policies. We are not responsible for third-party services.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• MERCHANTABILITY
• FITNESS FOR A PARTICULAR PURPOSE
• NON-INFRINGEMENT
• ACCURACY OR RELIABILITY OF RESULTS
• UNINTERRUPTED OR ERROR-FREE OPERATION

We do not warrant that the Service will meet your specific requirements or that any errors will be corrected.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• Nexim shall not be liable for any indirect, incidental, special, consequential, or punitive damages
• Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim
• We are not liable for any loss of data, profits, or business opportunities

Some jurisdictions do not allow limitation of liability, so these limitations may not apply to you.

11. Indemnification

You agree to indemnify and hold harmless Nexim and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Your Data or content you submit

12. Termination

12.1 By You

You may terminate your account at any time through your account settings or by contacting support.

12.2 By Us

We may suspend or terminate your account if you:

• Violate these Terms
• Fail to pay subscription fees
• Engage in fraudulent or illegal activity
• Pose a security risk to the Service

12.3 Effect of Termination

Upon termination, your right to use the Service ceases immediately. Sections regarding intellectual property, disclaimers, limitation of liability, and indemnification survive termination.

13. Governing Law

These Terms are governed by the laws of South Africa. Any disputes shall be resolved in the courts of South Africa. You consent to the exclusive jurisdiction of these courts.

14. Changes to Terms

We may modify these Terms at any time. We will provide notice of material changes via email or in-app notification at least 30 days before they take effect. Continued use of the Service after changes constitutes acceptance of the new Terms.
